App Partner & API – T&C

1. Introduction

ZENEGY is a cloud-based software platform that contains a number of products that support various processes in the finance function of companies, including payroll, time registration and time calculations, as well as bookkeeping, cost management, etc. (the “Platform”). The Platform is offered by Zenegy Danmark ApS (“Zenegy”), which has the following contact information:

Zenegy’s provision of access to APIs to the App Partner is a business-to-business service to the App Partner.

2. The Product and the Subscription

Zenegy’s service consists of providing access to use Zenegy’s APIs, through which it is possible to perform the activities and functions to which the App Partner has access on the terms set out in these Terms.

3. Confidentiality

Access, including credentials and other credentials to Zenegy’s API (API) access, must be treated as confidential and may not be shared, copied or otherwise disclosed to unauthorised persons or entities. Any breach of this confidentiality shall be deemed a breach of these Terms.

4. Use and Liability

Credentials may only be used for the specific purpose for which they were provided. The User is responsible for all use of this information and must immediately report any suspicious activity or security breach to Zenegy.

5. Safety Precautions

Credentials must be kept secure and accessible only to authorised persons. It is recommended to implement robust password policies and regularly review and update this information, as well as not to store this information directly in the code.

6. Contact information

It is the user’s responsibility at all times to ensure that Zenegy has updated and valid contact information for a direct contact person at the APP partner.
This is essential to ensure effective communication and handling of any issues or changes related to our API.

Access to our API follows the CVR number of the created company/partner.
In the event of a sale, closure, bankruptcy or other full or partial transfer of the company that holds API access, Zenegy must be notified immediately.
Transfer of API access to a new owner/s requires prior review and approval from Zenegy.

7. Fair-use policy

To ensure optimal performance and a good experience for all partners and customers, all developers are encouraged to optimise their requests and flows.

Fair use is defined as a maximum of 500 daily requests to our API over a 24-hour period unless otherwise agreed in writing.
If an app creates an excessive load on the API, Zenegy reserves the right to limit or close access to our API without notice.
Zenegy can offer help and guidance to optimise the technical implementation as a separate paid service.

8. Data responsibility

The APP partner may not collect data via API if the APP partner has not received explicit consent from the data controller (e.g., customer) to be a data processor. If Zenegy becomes aware of unauthorised access and use of data, access will be revoked with immediate notice.

9. Support

If support is needed, Zenegy’s general support channels are used. If there is a need for further technical support from the API team, this will be invoiced at the hourly rate for consulting services in force at any given time.

10. Breach

Violating these Terms may result in immediate revocation of API access and further legal action, depending on the severity and consequences of the violation.

11. IP Rights

Zenegy owns the API, all IP rights, etc. The company only gets access to the API, and thus, no ownership rights are transferred.

12. Changes to the Terms

Zenegy is entitled to change these terms and conditions at any time.
The terms and conditions in force from time to time will be available on the Website. Any use of the Platform following a change to these terms and conditions constitutes acceptance of these terms and conditions.

13. Miscellaneous

Any violation of the law in connection with the use of the API, e.g. violation of data protection rules, is the responsibility of the user/company. Should Zenegy suffer any loss due to the user’s illegal or unlawful use of the API, the user shall indemnify Zenegy.

Zenegy assumes no responsibility for the correctness or completeness of the data retrieved due to the use of Zenegy’s API.
